International Agreement For Acquisition Of Software Subscription And Support

12.1. This contract begins on the date the customer first accepts it and remains in effect until subscriptions to software licenses expire or are terminated. 2.6. Renewal of subscription. The subscription-purchased use rights of Cisco Technology are automatically extended for the extension period indicated in the order you or your Cisco partner placed with Cisco (“extending time”), unless: a) you notify your authorized source in writing, at least 45 days before the expiry of your current period of use, of your intention not to renew it in writing; or (b) You or your Cisco partner decide not to automatically renew at the time of the initial order at Cisco. Your authorized source will notify you in advance of an extension period in the event of a change in the fee. The new taxes apply for the impending extension period, unless you or your Cisco partner immediately inserts in writing with Cisco before the renewal date that you do not accept the royalty changes. In this case, your subscription expires at the end of the working life. This agreement is in favour of INTEL and its licensees, and all rights and obligations owed to INTEL are enforceable by INTEL and its licensees. An amendment to this agreement is binding only if it has been signed in writing and by authorized representatives of each party. If any of the provisions of this agreement are found to be contrary to applicable law, null or void, these provisions are repealed or amended to the extent necessary to the applicable agreement. The above safeguards and remedies are extinguished for hardware products that are damaged or can no longer be used by one or more of the following components: (1) incorrect or inadequate maintenance by persons other than authorized Check Point or Check Point agents, (2) software or interfaces provided by someone other than Check Point; (3) Changes, modifications or additions of material products by personnel who have not been certified by the authorized agents of Check Point or Check Point to perform such acts, or other unauthorized repairs, facilities or openings or other causes that are not controlled by Check Point, 4) inappropriate refusal to accept technical notification programs of modification (5) negligence on the part of a person other than the authorized agent of Check Point or CheckPoint , 6) abuse, abuse, accident, electrical irregularity, theft, vandalism, fire, water or any other hazard, (7) damage caused by containment and/or exploitation outside the environmental specifications of material products, (8) modification or connection of material products to other systems, devices or devices (except those specially authorized by Check Point) without prior authorization from Check Point or (9) any use inconsistent with the instructions provided with the material product.

The warranty period will not be extended if Check Point repairs or replaces a guaranteed product or part. Check Point may change the availability of limited hardware guarantees at its sole discretion, but the changes are not retroactive. 12.5. Cisco Partnership Operations. If you purchase Cisco Technology from a Cisco partner, the terms and conditions of this CLU apply to your use of this Cisco technology and prevail over the inconsistent provisions of your agreement with partner Cisco. 2.6 Assessment License. This section only applies if you have licensed for a first evaluation period. The license is only valid for the indicated evaluation period and will allow you to evaluate the product during that period.
